The Board of directors (“Board”) of the Company currently consists of one executive director, one non-executive director and three independent non-executive directors (“INEDs”). The Company has established an Audit Committee since 1999, with key members from INEDs, whose primary duties are to ensure the objectivity and credibility of the Company’s financial reporting and internal control procedures as well as to maintain an appropriate relationship with external auditors. The Board also entrusts the Remuneration Committee the function to ensure formal and transparent procedures for developing remuneration policies and in overseeing remuneration packages of the Company’s Directors. The Nomination Committee comprising all three INEDs was established in 2012. It reviews the structure, size and composition of the Board and gives adequate consideration to the Company’s Board diversity policy.The Investment Committee was established by the Board and empowered under the Company’s Articles of Association. It is delegated with powers of approving investment exceeding certain values. |
The Company’s investment portfolio and day-to-day administrative operation is managed by Shanghai International Asset Management (Hong Kong) Company Limited (the “Investment Manager” or “SIAM”), a licensed corporation registered with the Securities and Futures Commission of Hong Kong to carry out regulated activities 4 (advising on securities) and 9 (asset management). SIAM became a wholly-owned indirect subsidiary of Shanghai Industrial Investment (Holdings) Company Limited (“SIIC”) in December 2014. Under the direct supervision of State-owned Assets Supervision and Administration Commission of Shanghai Municipal Government, SIIC is a solid and long-established business conglomerate in Hong Kong having a number of listed corporations within the group. Prior to that, SIAM was established in February 1993 as a joint venture of Shanghai International Trust Investment Corporation and Kwang Hua Asset Management Limited (a member of a Taiwan business conglomerate), the joint forces of both partners raised a total capitalization of USD 96 million for the Company, whose shares are listed on the Hong Kong stock exchange since 1993. As the Company’s initial fund raiser and Investment Manager, SIAM’s primary duties and responsibilities are determining investment strategy, managing invested portfolio, identifying, screening, analyzing and conducting due diligence on investment potentials for the Company. |
